• GBG hosts the Supplier Data.
• No personal data is transferred to the Supplier.

The Supplier Data used to provide AddressBase Core – Tracking & Scheduling Dataset is supplied by GBG’s Supplier, Ordnance Survey. GBG is obliged under the terms of its agreement with its Supplier to ensure that all End Users agree to comply with the following provisions:

1. DEFINITIONS
1.1. In these Additional Terms the following definitions shall apply, in addition to the definitions set out in the General Terms and Product Terms:
“Cached Data” means data which is downloaded and stored by Caching.
“Caching” means the automatic, immediate download and temporary storage of the Data as an integral and essential part of a technological process.
“Co-ordinates” means co-ordinates of the destination of any route (whether on a map and/or through a description in words) such route being created in response to a request made by the End User.
“End User Data” means any data provided to GBG by the End User for processing in accordance with the terms of the Agreement including where relevant any personal data
“Navigation Product” means an electronic product and/or service which may be used on a device and which provides the End User with turn by turn instructions on how to get to a destination, which instructions are based on and are automatically updated to reflect the device’s position and movement during the journey.
“Object” means an asset (including assets that are connected to a Transponder) or a person whose route or journey is to be Scheduled.
“On-Demand Service” means a service hosted by GBG (or its suppliers) through which the End User is able to access the Supplier Data remotely.
“Permitted Purpose” means the purposes outlined by the Supplier for which the Dataset may be used as set out in clauses 2.2 to 2.10 below as applicable to the End User in addition to the Customer Use Case set out in the Agreement.
“Schedule” means where the End User pre-plans the movements of an Object and/or obtains instructions on how to get to a destination or a route to a destination and Scheduled and Scheduling are to be construed accordingly.
“Session” means a period of time commencing when the End User accesses the Supplier Data through an On-Demand Service or Software Package using a single terminal and expiring as soon as the first of one of the following occurs: a) the End User navigates away from or ceases to be connected to the On Demand Service or Software Package via such terminal; or b) 60 minutes pass without the End User interacting with the On-Demand Service or Software Package on such terminal; or c) 24 hours have passed since commencement.
“Software Package” means software which contains or utilises the Supplier Data supplied by GBG, whether or not the software and the Supplier Data are supplied together.
“Subscription Period” means a period of time as agreed by GBG and the End User for which the End User is signed up, comprising whole units of one year and/or one month.
“Track” means where the End User locates the movements of a Transponder and Tracked and Tracking are to be construed accordingly.
“Transponder” means a transponder whose movements are capable of being located remotely.
“User Generated Content” means content generated by the End User in the course of using an On-Demand Service or a Software Package consisting of measurements and distances determined using the Supplier Data. User Generated Content is treated as Supplier Data, and its supply must be paid for in accordance with the provisions of the Agreement.

2. USE OF THE DATASET
2.1. This Dataset may only be used for the Customer Use Cases detailed below, provided that such Customer Use Case is selected on the End User's Order Form and the End User complies with any use case restriction set out in the Agreement:

2.2. In addition to the Customer Use Case restrictions contained within clause 2.1 (including any conditions that apply to that Customer Use Case) the following terms set out in clauses 2.3-2.10 also apply.
2.3. This Dataset is supplied either in the form of an On-Demand Service or a Software Package solely for the purpose of enabling the End User to Track Transponders and/or Schedule Objects.
2.4. The End User is granted a non-exclusive, non-transferable licence (without rights to sub-license to any third party) to use the Software Package for the purposes of Tracking and/or Scheduling. The term of the relevant licence shall be the Subscription Period or the Session, as appropriate.
2.5. The End User is granted a non-exclusive, non-transferable licence (without rights to sub-license to any third party) to access and use the On-Demand Service (and any output of that Service) for the purposes of Tracking and/or Scheduling without any rights to store or download the Supplier Data except as provided in clause 2.9 (b). The term of the relevant licence shall be the Subscription Period or the Session, as appropriate.
2.6. The End User acknowledges that the Services shall not be used as a Navigation Product.
2.7. Subject to clause 2.8, the End Users ensures that the Supplier Data are inaccessible on expiry of any applicable Session or any Subscription Period which is not immediately renewed, including all Supplier Data downloaded by the End User.
2.8. The End User’s rights to download and/or install the Dataset are limited as set out in the Royal Mail PAF Solutions Provider Licence: https://www.poweredbypaf.com/licence-our-products/licence-agreements/solutions-providers/.
2.9. When the Service and Supplier Data are provided on a subscription basis:
(a) The Supplier Data contained within a Software Package cannot be extracted, except to the extent necessary for the installation of the Software Package in accordance with the Royal Mail PAF Solutions Provider Licence (https://www.poweredbypaf.com/licence-our-products/licence-agreements/solutions-providers/) or as expressly permitted under clause 2.8 (b).
(b) Except where the Supplier Data are supplied on a per Session basis, the End User is entitled to make paper copies of the Supplier Data obtained through Tracking or Scheduling, provided that such copies may be used solely for the End User’s internal use in connection with Tracking or Scheduling during an unexpired Subscription Period.
2.10. When the On-Demand Service or Software Package are supplied on a Session basis:
(a) The On-Demand Service or Software Package does not permit the End Users to manipulate, edit or extract the Supplier Data or to access any attribution associated with any Supplier Data other than: a) full postal addresses contained in the Dataset; and/or b) the street, locality and/or postcode information used to identify the location of a feature within the Dataset that does not have a full postal address.
(b) The End User is only able to access the Supplier Data remotely and, save for Caching, is not able to store the Supplier Data (including User Generated Content) on any terminal.
(c) The End User shall not print any Supplier Data (including User Generated Content), unless otherwise expressly permitted in these Additional Terms.
2.11. The End User warrants that it will not use the Dataset for any reason outside of the Customer Use Case and Permitted Purpose.

3. LIABILITY
3.1. The Supplier shall have no liability to the End User in respect of the Supplier Data or these Additional Terms.

4. DATA PROTECTION AND COMPLIANCE WITH RELEVANT LAWS
4.1. GBG does not transfer End User Data to the Supplier to provide this Dataset.

5. MISCELLANEOUS
5.1. The Dataset contains Intellectual Property Rights owned, in part, by Royal Mail. Accordingly, the Dataset is subject to the additional specific terms set out in the Royal Mail PAF Solutions Provider Licence: https://www.poweredbypaf.com/licence-our-products/licence-agreements/solutions-providers/.
5.2. The terms of Royal Mail PAF Solutions Provider Licence are incorporated to these Additional Terms by reference.
5.3. GBG excludes all liability with the End User in relation to such licence.
5.4. Where there is any conflict between the terms of the Royal Mail PAF Solutions Provider Licence and the terms of the Agreement (including these Additional Terms), the Royal Mail PAF Solutions Provider Licence shall take precedence.
5.5. GBG may automatically terminate the End User Subscription Period upon termination of the agreement between GBG and the Supplier. For the avoidance of doubt, the End User will cease using the Supplier Data upon termination or expiry of the agreement between GBG and the Supplier.
