The Supplier Data that GBG uses to provide IVA/Bankruptcy Matching is obtained from multiple suppliers including the Gazette (which includes the London, Belfast and Edinburgh Gazette) and is the Official Public Record managed by The National Archives (a non-ministerial government department) under a concessionary contract with The Stationery Office (“Data Supplier”) who has published the Supplier Data in accordance with its open source licence terms. GBG is obliged under the terms of the open source licence provided by its Data Supplier to ensure that all End Users agree to comply with the following provisions:
1. USE OF THE SERVICE AND COPYRIGHT LICENCES
1.1 The Supplier Data contains public sector information which is Crown Copyright and licensed under the Open Government Licence v3.0 which is incorporated into these Additional Terms. The End User acknowledges and accepts that responsibility for ensuring compliance with the terms of the Crown Copyright, including obtaining any necessary licenses, will lie solely with the End User. In the event of a breach of these Additional Terms by an End User the rights granted to the End User under this licence, or any similar licence will end automatically.
1.2 The End User shall not edit, alter or amend the Supplier Data. Where an End User is explicitly permitted in its Agreement with GBG to publish or otherwise share the Supplier Data with any other third party (for example as an authorised reseller or channel partner), the End User must ensure that all additional End Users who receive or access the Supplier Data receive a copy of these Additional Terms and associated copyright notices.
1.3 The End User shall not re-use the logo of the Data Supplier unless it has obtained its prior written consent and complies with its relevant policies.
2. END USER OBLIGATIONS
2.1 The End User agrees to not to use the Supplier Data in a way that suggests any official status or affiliation with The Gazette, The National Archives or the Stationary Office or in a way that suggests that they endorse the End User or its use of the Supplier Data.
3. LIABILITY
3.1 Notwithstanding the liability of the End User to GBG as set out in the General Terms, the End User’s liability to GBG in relation to the use of this Supplier Data and misuse of these licence terms shall be unlimited.
4. EXCLUSION OF WARRANTIES
4.1 The Supplier Data is licensed 'as is' and the Data Supplier and GBG excludes all representations, warranties, obligations and liabilities in relation to the Supplier Data, including in relation to the accuracy or currency of any information obtained from the Supplier Data, to the maximum extent permitted by law.
4.2 The Data Supplier and GBG do not warrant that the Supplier Data will be of satisfactory quality, suitable for any particular requirement or fit for any purpose and shall not be liable for any errors or omissions in the Supplier Data or for any loss, injury or damage of any kind caused by its use.
4.3 The Data Supplier and GBG cannot guarantee the continued supply of the Supplier Data.
4.4 The End User acknowledges that the Data Supplier may rely on data supplied by third parties and as such GBG and the Data Supplier shall not be liable to the End User for any error or omission in the data supplied by such third parties or the failure by such third parties to supply data to Data Supplier.
4.5 The Data Supplier and GBG shall not be liable for any of the following: loss of profit, earnings, business or goodwill; damage to reputation; or any indirect, punitive, special or consequential losses, damages, costs, expenses or other claims (whether caused by the negligence or otherwise of GBG, the Data Supplier, its servants, agents and sub-contractors) which arise out of or in connection with these Additional Terms.
5. INTELLECTUAL PROPERTY RIGHTS
5.1 Except to inform the origin of the Supplier Data, the End User will not use the Data Supplier’s name, trade names, trademarks or logos without its prior consent. The End User will immediately notify GBG who in turn will notify the Data Supplier, and give all reasonable assistance to allow the Data Supplier to protect the Intellectual Property Rights in the Supplier Data, if it becomes aware of any unauthorised use of the Supplier Data. Where the unauthorised use emanates from a customer of the End User, the End User will take such action at its own cost (whether under an end-user licence or otherwise) as the Data Supplier reasonably requests to stop the unauthorised use.
6. DATA PROTECTION AND COMPLIANCE WITH RELEVANT LAWS
6.1 GBG does not use Sub-processors to provide this element of the Service as the Supplier Data is hosted by GBG.
7. TERMINATION
7.1 Notwithstanding the termination provisions between GBG and the End User in the General Terms, under the terms of GBG’s agreement with its Data Supplier, the supply of IVA/Bankruptcy Matching can be terminated.
