The Supplier Data that GBG uses to provide Property Data is supplied by GBG’s Data Supplier. GBG is obliged under the terms of its agreement with its Data Supplier to ensure that all End Users agree to comply with the provisions set out below. These terms apply to all Property Data checks. Individual Property Data checks are identified by an ID Number on the End User’s Order Form.
1. DEFINITIONS
1.1. In these Additional Terms, the following definitions shall apply, in addition to the definitions set out in the General Terms:
“Permitted Purpose” means use of the Property Transaction Data solely for the purpose of account management, tracing, retention and verification.
“Property Transaction Data” means the data supplied by GBG’s Data Supplier concerning information or indicators relating to pre-sale, sale or rental of a property in the United Kingdom.
2. USE OF THE SUPPLIER DATA
2.1. The Supplier Data may only be used for the Permitted Purpose in accordance with these terms.
2.2. The End User shall not:
(a) modify, adapt, develop, reverse engineer, decompile or disassemble the Property Transaction Data;
(b) copy the Property Transaction Data or any part of it unless expressly permitted to do so by this Agreement;
2.3. The End User undertakes, warrants and represents that the materials and message delivered to customers of the End User is the responsibility of the End User and that such materials and message must not expressly state knowledge of a specific house transaction or that the property is known to be in the process of a legal conveyance (by way of example only, it must not state “it looks like you’re moving house”).
3. END USER OBLIGATIONS
3.1. The End User warrants that it will not use the Property Transaction Data outside of the Permitted Purpose and that it shall use all due care and skill in using the Property Transaction Data in accordance with these terms and the General Terms.
3.2. The End User acknowledges and agrees that the Property Transaction Data is provided “as is” and GBG’s Data Supplier makes no representation, warranty, promise or guarantee of any kind concerning the Property Transaction Data, whether express or implied by statute, common law, custom, trade usage, course of dealing or otherwise, all of which are hereby excluded to the fullest extent permitted by law.
3.3. If requested by a regulation or statutory law, the End User shall destroy, delete and purge all data or Confidential Information disclosed or supplied to the End User by GBG in connection with the Property Transaction Data.
4. DATA PROTECTION AND COMPLIANCE WITH RELEVANT LAWS
4.1. GBG does not use Sub-processors to provide this element of the Service as the Supplier Data is hosted by GBG.
5. TERMINATION
5.1. Notwithstanding the other termination provisions in this Agreement, under the terms of GBG’s agreement with its Data Supplier, the supply of the Property Transaction Data may be terminated at any time by giving one months’ notice or suspended immediately if a regulatory body recommends or requires cessation or cancellation of the supply of the Property Transaction Data.
