The Supplier Data used to provide the MPS Datasets is supplied by GBG’s Supplier. GBG is obliged under the terms of its agreement with its Supplier to ensure that all End Users agree to comply with the following licencing provisions. These Additional Terms apply to all MPS Datasets. Individual MPS Datasets can be identified by the ID Number listed on the End User’s Order Form.

1. DEFINITIONS
1.1. In these Additional Terms, the following definitions shall apply, in addition to the definitions set out in the General Terms and Product Terms:
“End User Data” any data provided to GBG by the End User for processing in accordance with the terms of the Agreement including where relevant any personal data.
“Permitted Purpose” means the purposes, restrictions and/or conditions for the use of the Dataset outlined by the Supplier as set in the Additional Terms below in addition to the Customer Use Case set out in the Agreement.

2. USE OF THE DATASET
2.1 The End User must not send any promotional mailings to any individuals listed in the suppression list within the Supplier Data.
2.2. The End User warrants that it will not use this Dataset for any reason outside of the Permitted Purpose.

3. LIABILITY
3.1 The Supplier expressly excludes all liabilities the End User may suffer in relation to the use of the Supplier Data or the Dataset to the extent that such loss is indirect, consequential, special or of a type that would not normally be expected to flow from the relevant breach or negligence or other default of the defaulting party or special, punitive, aggravated or exemplary damages.
3.2 The Supplier hereby expressly excludes all liabilities in respect of inaccurate or incomplete information howsoever arising including (without limitation) those arising as a result of inaccuracies in the information provided to the Supplier.
3.3 The End User’s liability in relation to the misuse of the Supplier Data or the Dataset is unlimited.

4. TERMINATION
4.1 Notwithstanding the termination provisions between GBG and the End User in the General Terms, under the terms of GBG’s agreement with the Supplier, the Supplier may terminate immediately the agreement between GBG and the Supplier if:
(a) in the Supplier’s reasonable opinion GBG or the End User is in breach of the licence provided for use of the Supplier Data; or
(b) the Supplier ceases to have the requisite permissions and rights to license the Supplier Data.
